Two numbers decide what an annual report costs: the state’s filing fee, and what the state adds if the report arrives after the due date. The first is predictable. The second is where companies lose money.

The highest state fee
Key facts
01State filing fees run from $7 to $500 a year for LLCs; several states charge nothing.
02Corporations often pay a different fee from LLCs in the same state.
03Late penalties are set by statute: a flat fee in most states, interest on top in a few.
04A filing service’s fee is always separate from the state’s fee. Ask to see both.
The filing fee is what the state charges to accept the report. It is paid to the state, it does not change with the size of the company in most states, and it is the same whether you file yourself or through a service.

02Late penalties
The late penalty is added the moment the due date passes. In Texas: $50 for a late franchise tax report (none for the Public Information Report alone). The right to do business is forfeited 45 days after notice, the charter 120 days later. In Delaware: A $200 penalty plus 1.5% interest a month. A corporation’s charter becomes void after a year unpaid; an LLC is cancelled after three years.
A private filing service charges its own fee on top of the state’s. Look for one that shows the two apart, passes the state fee through at cost and sends you the state’s receipt.
04Questions
Is the annual report fee tax-deductible?
For most companies it is an ordinary business expense. Your accountant can confirm how it applies to yours.
Why does Delaware cost more than most states?
Delaware’s payment is a tax, not only a filing fee. LLCs pay a flat annual tax; corporations pay a franchise tax calculated from their shares. See the Delaware franchise tax guide.
LLCs pay a flat $300 annual tax by June 1; corporations file the annual franchise tax report by March 1. What each owes and what happens if it is late.
